Terms of Service

Who we are, and what you're agreeing to

These Terms of Service govern your use of the Marcel's Inner Circle partner app (the "App"), operated by Celmedia L.L.C-FZ, Business Center 1, M Floor, The Meydan Hotel, Nad Al Sheba, Dubai, U.A.E. ("we", "us", "HQ"). By signing in or using the App you agree to these Terms.

If you joined the program under a separate written partner or program agreement, that agreement controls wherever it conflicts with these Terms.

Your account

Accounts are provisioned by HQ for enrolled partners. You must be at least 18 years old. Keep your credentials private — you're responsible for activity under your account. Tell us immediately if you suspect unauthorized access.

The partner program

The App supports your participation in the Inner Circle partner program, in which you independently offer Hellow AI's products to businesses. You are an independent business owner. Nothing in the App or these Terms creates employment, agency, a joint venture, or a franchise. You decide when, where, and how you work.

No earnings promises

The App reports your own activity, progress, and commission records. Nothing in the App is a promise, projection, or guarantee of income. Results vary with effort, skill, and market conditions, and some partners earn nothing. Any amounts shown are records of your account, not predictions.

License and program content

We grant you a limited, personal, non-transferable, revocable license to use the App while you're an active partner. The training program, lesson videos, scripts, playbooks, and other materials are our confidential intellectual property: don't copy, record, share, sell, or publish them, and don't use them to build a competing program.

Acceptable use

Use the App lawfully and honestly. In particular: comply with all marketing, telemarketing, anti-spam, and consumer-protection laws that apply to your outreach (including consent and do-not-contact rules); never misrepresent who you are or what you're offering; don't scrape, probe, reverse engineer, or disrupt the App; and keep community spaces (like lesson discussions) respectful — we may moderate, hide, or remove content and suspend accounts that cross the line.

AI features

The AI Closer and Training Support generate suggestions using artificial intelligence. Drafts can be wrong, incomplete, or inappropriate for your situation. You are responsible for every message you actually send and for complying with the law when you send it. AI output is not legal, financial, or professional advice.

Commissions

Commission figures in the App are an informational display of your account records. Actual entitlement, rates, and payout timing are governed by your partner agreement and our payout records. If something looks wrong, contact HQ and we'll reconcile it.

Ending things

You can stop using the App at any time, and you can permanently delete your account in the App (Account → Delete account). We may suspend or terminate access for breach of these Terms, for conduct that harms the program or other partners, or if your program membership ends. Sections that by their nature should survive termination (like intellectual property, disclaimers, and liability limits) survive.

Disclaimers

The App is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise the App will be uninterrupted, error-free, or always available.

Limitation of liability

To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for claims relating to the App is limited to the greater of USD $100 or the amounts you paid us for the App in the twelve months before the claim.

Changes to these Terms

We may update these Terms as the program evolves. If a change is material we'll notify you in the App. Continuing to use the App after a change takes effect means you accept it.

Governing law

These Terms are governed by the laws of Dubai, United Arab Emirates, without regard to conflict-of-law rules, and disputes belong to the courts of Dubai, United Arab Emirates.
